Template, not legal advice. This draft reflects PodcastGTM's proposed offers and prices. Values in [brackets] are fill-ins, and prices stay proposed until confirmed. Have counsel review it, and line it up with your order form and data processing agreement, before this page goes live.
1. About these terms
These terms cover two things: your use of this website, and any PodcastGTM service you buy under an order form. They form an agreement between [Legal entity name] ("PodcastGTM", "we", "us") and the business named in the order form ("you").
The agreement is made of three documents: the order form, these terms and our data processing agreement. If they conflict, the order form wins, then the data processing agreement on anything about personal data, then these terms.
Our services are for businesses. By signing an order form, you confirm you're acting for a business and have the authority to bind it.
2. Definitions
- Host: the founder or executive who hosts your show and whose name invitations go out under.
- Guest: a person invited to appear on your show.
- Recorded guest: a guest who fits the criteria you approved in the brief, passed the producer pre-interview and completed a full recording, whether or not the episode has been published yet.
- Program: the service in your order form, for example a Podcast Pipeline tier.
- Infrastructure: invitation domains, mailboxes, recording and hosting accounts, and the show feed set up for your program.
- Program content: raw and edited recordings, episodes, clips, quote cards, cover art, transcripts and show notes.
- Program data: the guest list, invitation replies, pre-interview notes and fit scores, CRM records and reports.
- Our materials: our methods, templates, sequence frameworks, question banks, scoring sheets, internal tools and know-how.
3. The services
Each service's scope is set by its page on this site and by your order form.
- Podcast Pipeline, done for you, in three tiers: Pilot, Engine or Network. We build the guest list, send invitations under the host's name, run pre-interviews, recording logistics and editing, hand qualified conversations to your CRM, and report weekly from send to signed. Target recorded guests per month: Pilot 4–6, Engine 8–10, Network 12–16.
- Launch Sprint, a 14-day build: show concept, name and brief, guest criteria and a first 300-guest list, three invitation sequences, domains and 30 mailboxes set up and warming, pre-interview script and scoring sheet, recording stack, question bank, two working sessions and a handover call. You run it after.
- Host Coaching. You send, we coach: two coaching calls a month, invitation and episode reviews, pre-interview scoring review, follow-up templates, async support and a monthly benchmark report. Requires a Launch Sprint or an existing show.
- Closing Desk, an add-on to Engine or Network. A senior closer takes qualified guest conversations from handoff to signed. The host stays on the relationship; the desk runs the process.
- Multi-Show, for several hosts, markets or languages, scoped in a custom order form.
- Sponsorship of network shows, the partner program and the VC portfolio program run under these terms plus their own order form or sign-up terms.
What we don't promise
We commit to the work and, on Podcast Pipeline, to the recorded-guest target through the Guest Guarantee. We don't promise a number of opportunities, closed deals, revenue or downloads. Case files, sample funnels and metrics on this site are placeholders or illustrations, labelled as such, and are not a forecast of your results.
4. Fees and billing
List prices in US dollars, excluding taxes. Proposed pricing
| service | fee | notes |
|---|---|---|
| Podcast Pipeline · Pilot | $3,900 / month | setup $1,500, credited if you upgrade within 90 days |
| Podcast Pipeline · Engine | $6,900 / month | no setup fee |
| Podcast Pipeline · Network | $11,500 / month | no setup fee |
| Launch Sprint | $4,500 one-time | ongoing software ~$180 / month, paid by you directly |
| Host Coaching | $1,800 / month | requires a Launch Sprint or an existing show |
| Closing Desk | $2,500 / month + 8% | 8% of first-year contract value on deals the desk closes; Engine or Network only |
| Multi-Show | from $18,000 / month | custom order form |
| Sponsorship · single show | $2,000 / month | 3-month minimum |
| Sponsorship · network bundle | $7,500 / month | 3-month minimum |
- Prepay discounts. Podcast Pipeline is billed monthly, or prepaid for 3 months (10% off) or 6 months (15% off). See tiers on the pricing page.
- Software and infrastructure. Domains, mailboxes, warm-up and recording tools are included in every Podcast Pipeline tier. After a Launch Sprint, you pay those vendors directly.
- Invoicing. Monthly fees are invoiced in advance at the start of each billing period. One-time fees are invoiced at signing [or 50% at signing, 50% at handover]. Payment is due within [14 days].
- Late payment. Overdue amounts may carry interest at [1% per month, or the legal maximum if lower]. After [14 days] written notice of an overdue invoice, we may pause new invitations until it's paid. Recordings already booked go ahead.
- Taxes. Fees exclude sales tax, VAT and similar taxes, which are added where they apply.
- Price changes. We give [60 days] written notice of any price change. A change never applies to a period you've already prepaid.
Closing Desk success fee
The fee is 8% of first-year contract value on deals the desk closes. First-year contract value is the total your customer commits to pay in the first 12 months of the signed deal, excluding taxes and pass-through costs. A deal counts as closed by the desk when the desk ran it from handoff to signature and it's logged that way in your CRM. The fee is invoiced [when your customer pays its first invoice]. Deals the desk was running that sign within [90 days] after the add-on ends still carry the fee.
Partner and VC programs
Partner program: 20% of the first 12 months of fees paid by any host you refer who signs. No cap, paid monthly as they pay. VC portfolio program: one portfolio company runs a 60-day pilot of the Pilot tier at 25% off. Add-ons and their prices are listed under add-ons on the pricing page.
5. Term, renewal and notice
- Podcast Pipeline. A 3-month initial term, then month to month. Either side can end it with 30 days written notice. You can give notice during the initial term; it then takes effect at the end of the initial term or 30 days after notice, whichever is later.
- Prepaid periods. A 3- or 6-month prepay runs to its end. Unused prepaid fees aren't refunded, except when you end the agreement because of our breach that we failed to fix, in which case the unused part is refunded pro rata.
- VC portfolio pilot. 60 days on the Pilot tier at 25% off list ($2,925 / month). No 3-month initial term; the standard $1,500 Pilot setup applies, credited if you move up to Engine or Network within 90 days. It ends on day 60 unless you sign a Podcast Pipeline order form, which then starts its own initial term.
- Launch Sprint. A fixed 14-day project from kickoff, ending at the handover call. Nothing renews.
- Host Coaching. Month to month, ended with [30 days written notice].
- Closing Desk. Ends when your Engine or Network program ends, or earlier on 30 days written notice. Success fees follow section 4.
- Sponsorship. A 3-month minimum, then per the sponsorship order form.
- For cause. Either side may end the agreement if the other materially breaches it and doesn't fix the breach within [30 days] of written notice, or becomes insolvent.
When a program ends
- Within [10 business days], we hand over admin access to every domain and mailbox and export program content and program data in standard formats.
- Recordings scheduled during the notice period go ahead unless you ask us to cancel them.
- We delete our copies of program data within [30 days] of handover, except what the law requires us to keep. The suppression list stays, so opted-out people stay opted out.
- Fees for work done up to the end date remain payable.
6. Guest Guarantee
Applies to Podcast Pipeline tiers: Pilot, Engine and Network. Multi-Show terms are set in its order form. The same guarantee is summarised on the pricing page.
- The promise. From month 2 on, if we record fewer guests in a month than your target, we keep booking at no charge until we hit it.
- The target. The low end of your tier's range: 4 on Pilot, 8 on Engine, 12 on Network, unless your order form sets a different number.
- What counts. Recorded guests as defined in section 2. Accepted invitations and booked slots that weren't recorded don't count.
- Why month 1 is excluded. Days 6–17 are mailbox warm-up. Invitations start on day 18 and first recordings land around day 25.
- How it works. If a month closes short, the next billing period starts only once the shortfall is recorded. The extra booking and recording work costs you nothing.
- What it assumes. The host offers at least [N recording slots a week], invitation copy is approved within [2 business days], and invoices are current. A recording the host cancels and doesn't rebook within [7 days] counts toward the target. Changing the ICP mid-month restarts that month's count.
- Its limits. The guarantee is the remedy for a missed recorded-guest target. It isn't a cash refund, and it doesn't cover opportunities, deals or revenue.
7. Ownership
- You own the infrastructure, program content and program data from the moment each is created. Domains are registered in your name, or transferred to you on request at no charge. Ownership doesn't depend on staying a client.
- We keep our materials. Where they're built into something you receive, such as the Launch Sprint question bank, pre-interview script, scoring sheet and invitation sequences, you get a perpetual, royalty-free licence to use them in your own business. You can't resell them or offer them as a service.
- Guest rights. Each guest signs a release that grants rights in their recording to you as the show's owner. We collect it for you and hand it over with the recording.
- Show name and art. Yours. We check the name for obvious conflicts; formal trademark clearance is your decision.
- References. We name you as a client, or show your program as an example, only with your written permission.
8. Outreach compliance: who does what
Invitations go out in your host's name, so you are the sender of record and, for guest data, normally the controller. This is how responsibility is split.
| area | you | we |
|---|---|---|
| Sender identity | a real host who agrees to invitations in their name; accurate company details and postal address for footers | set that identity up correctly on every mailbox |
| Invitation copy | approve every sequence before it sends | write it straight: honest subject lines, no fake "re:" threads, clear about who and why |
| Who gets invited | confirm your ICP and any account list you supply may lawfully be used this way | research from the public, professional sources in the privacy policy; no personal emails |
| Where invitations may go | decide with your counsel which rules apply (e.g. CAN-SPAM, GDPR, PECR, CASL) | apply your exclusions, and consent requirements where you flag them |
| Opt-outs | never re-invite anyone who opted out, including from your other tools | opt-out in every message, cross-show suppression, notice to you |
| Deliverability | keep invitations off your main domain | separate domains, warm-up on days 6–17, low daily volume that ramps |
| Data requests | answer requests about your program within legal deadlines | forward them within [3 business days] and help you respond |
| Regulated industries | run your compliance review of copy and episodes | build that review into the schedule |
If you instruct us to send something we believe is unlawful, we can decline, and we'll tell you why.
9. Host conduct and content
- Nothing gets sold on the record. The host runs a conversation, not a pitch, and doesn't use the recording to press a guest for a meeting.
- Claims the host makes on air must be accurate. Anything a guest shares in confidence, on or off the record, stays confidential.
- Guests approve their clips, and nothing airs without sign-off. You agree not to publish an episode or clip a guest has declined or withdrawn.
- You're responsible for rights in anything you ask us to include, such as music, logos or third-party footage.
- We can decline to edit or publish content we reasonably believe is unlawful, defamatory or in breach of a guest release.
10. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for the agreement. That includes your ICP, account lists, pipeline numbers and pre-interview notes, and our materials. It doesn't cover information that is public, already known, independently developed or lawfully received from someone else. Disclosure is allowed to staff and advisers who need it and are bound by confidentiality, and where the law requires it.
We never share one client's guest list, notes, recordings or results with another client. On Multi-Show, guest intelligence is shared across your own shows only.
These duties last [3 years] after the agreement ends, and indefinitely for personal data and trade secrets.
11. Data protection
For guest research, invitations, pre-interviews and recordings, you are normally the controller and we are your processor. Our data processing agreement [link or annex] covers the details: subprocessors, security, breach notice and international transfers. How we handle personal data as a controller, including the cross-client suppression list, is set out in the privacy policy.
12. Warranties and disclaimers
- Each side confirms it has the authority to enter the agreement.
- We'll perform the services with reasonable skill and care, using trained people, in line with the agreement.
- You confirm that information and lists you give us are accurate and may lawfully be used as you instruct.
- The calculators on this site give estimates, not guarantees. Your numbers will differ. Example data, case files and testimonials on this site are placeholders or illustrations and are labelled that way.
- Beyond what these terms state, the services and site content come without other warranties, to the extent the law allows.
13. Liability
- Cap. Each side's total liability under the agreement is limited to [the fees you paid in the 12 months before the event giving rise to the claim].
- Excluded losses. Neither side is liable for indirect or consequential loss, or for lost profits, revenue, pipeline or goodwill [subject to local law].
- Not limited. [Fees owed, breach of confidentiality, indemnities, fraud, and death or personal injury caused by negligence. Confirm the list with counsel.]
14. Indemnities
You'll defend us against third-party claims arising from lists or data you supplied, invitations sent on your instructions against our written advice, or statements the host makes on air, and cover the resulting losses. We'll do the same for claims that our materials infringe someone else's intellectual property. The side making the claim tells the other promptly and lets it control the defence. [Counsel to confirm scope and procedure.]
15. Using this website
- Use the site lawfully. Don't scrape it at scale, probe its security or submit false information through its forms.
- Site content is general information, not legal, financial or tax advice.
- While the site is in preview, its forms are demonstrations and send nothing.
- Links to other sites are there for convenience; we don't control their content.
- Site text, design and code belong to PodcastGTM. [Add licence terms for any third-party assets.]
16. Governing law and disputes
These terms are governed by the laws of [State / Country]. Before starting formal proceedings, each side's named contact meets the other's within [10 business days] of a written dispute notice to try to settle it. If that fails, the courts of [city, State / Country] have exclusive jurisdiction [or: binding arbitration under the rules of (body), seated in (city)].
17. General and contact
- Changes. We may update these terms. Active clients get [30 days] notice, and changes apply from the next billing period. The date at the top of this page shows the current version.
- Subcontractors. We may use subcontractors, such as editors and researchers, and remain responsible for their work.
- Assignment. Neither side may transfer the agreement without the other's consent, except to a successor in a merger or sale of the business.
- Events outside anyone's control. Neither side is liable for delay caused by events beyond reasonable control. A guarantee month hit by such an event is extended to match.
- Notices. By email to the contacts in the order form. Legal notices go to legal@[your-domain].
- Whole agreement. The order form, these terms and the data processing agreement are the whole agreement. If a clause can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
- Contact. [Legal entity name], [registered address], legal@[your-domain].
